Consulting Agreement Lawyer Toronto

Lawyer for consultants, agencies and tech service businesses in Toronto

For Founders Law drafts consulting agreements, master services agreements, statements of work and subcontractor agreements for consultants, agencies, dev shops and AI automation firms, at a fixed fee quoted before work starts. The goal is a contract stack you can reuse on every client: one master agreement, a short SOW for each project, and the right terms for the people you subcontract to.

Key takeaways: Most consulting disputes come from vague scope, unclear acceptance and payment terms, and IP that was never properly assigned or licensed. A master agreement plus a tight SOW template prevents most of them.

What contracts does a consulting or agency business need?

Master services or consulting agreement

The umbrella terms for every client: payment, late fees, confidentiality, IP ownership and licensing, warranties, liability caps, non-solicitation and termination.

Statement of work template

A reusable SOW that pins down deliverables, milestones, acceptance criteria, change requests and fees, so scope creep becomes a paid change order instead of an argument.

Subcontractor and freelancer agreements

Terms for the developers, designers and specialists you bring in, with IP assignment and moral rights waivers that flow through to your client, confidentiality, and clear independent contractor status.

AI and automation terms

If you build AI agents, automations or integrations for clients, your agreements should cover third-party model and platform terms, output accuracy, data access and who maintains what after handover.

NDAs and data processing terms

Mutual NDAs for pitches and discovery, and data processing terms when you handle your clients' customer data.

Who owns the work a consultant creates in Canada?

Under Canada's Copyright Act, an independent contractor generally owns the copyright in what they create unless it is assigned in writing. That surprises many clients. Your agreement should say exactly when ownership transfers (often on full payment), what you keep (your pre-existing tools, code libraries and know-how), and what licence the client gets to those.

Are you a contractor or an employee?

Canadian courts look at the whole relationship, including control, who provides the tools, chance of profit, risk of loss and whose business it really is. The contract label does not decide it. If you work for one client full-time under their direction, the answer may be different from what your agreement says, with tax and employment law consequences for both sides.

FAQ

Can I include a non-compete in a consulting agreement in Ontario?

Ontario's ban on non-competes applies to employment agreements. Restrictions between businesses are judged under the common law and must be reasonable to be enforced. Non-solicitation and confidentiality clauses are usually the more practical protection.

Should I cap my liability to clients?

Yes. A cap tied to the fees paid under the agreement or the relevant SOW is common, with specific carve-outs negotiated case by case. Pair it with professional liability insurance where your work carries real risk.
